Terms of Service

These terms govern your use of OracleIT's website and managed IT services. Please read them carefully.

These Terms of Service ("Terms") govern your access to and use of the website and services provided by OracleIT Ghana Ltd ("OracleIT", "we", "us", or "our"), a managed IT services company registered in Ghana. These Terms apply to all visitors, clients, and anyone who accesses or uses our services.

1. Acceptance of Terms

By accessing our website at oracleitghana.com or engaging OracleIT Ghana Ltd for managed IT services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our services.

2. Services Provided

Scope of Services

OracleIT provides managed IT services including but not limited to: 24/7 IT support and helpdesk, network infrastructure management, cybersecurity solutions, cloud services, IT consulting, hardware and software procurement, and ERP implementation. The specific services, deliverables, and service levels applicable to your engagement are defined in your individual Service Agreement or Statement of Work.

Service Modifications

OracleIT reserves the right to modify, suspend, or discontinue any service at any time with reasonable notice. We will make reasonable efforts to notify clients of significant changes that may affect their operations.

3. Client Obligations

Access and Cooperation

To deliver our services effectively, you agree to provide OracleIT with necessary access to your systems, networks, and facilities as required. You will designate an authorized point of contact and ensure your staff cooperates reasonably with our team.

Accurate Information

You are responsible for providing accurate and complete information about your IT environment, business requirements, and any changes that may affect service delivery. Inaccurate information may impact service quality and is not the responsibility of OracleIT.

Acceptable Use

You agree not to use OracleIT services for any unlawful purpose, to transmit malicious code, to infringe on intellectual property rights, or to engage in any activity that disrupts or interferes with our services or the services of other clients.

4. Payment Terms

Fees and Invoicing

Service fees are as agreed in your Service Agreement. Invoices are issued monthly in advance for recurring services and upon completion for project-based work. All fees are quoted in Ghana Cedis (GHS) unless otherwise agreed.

Payment Due Dates

Payment is due within 30 days of the invoice date unless otherwise specified in your Service Agreement. OracleIT reserves the right to suspend services for accounts that are more than 30 days overdue after providing written notice.

Taxes

All fees are exclusive of applicable taxes including VAT. You are responsible for all taxes, levies, or duties imposed by taxing authorities in connection with the services.

5. Confidentiality

Mutual Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of the service relationship. This includes business data, technical systems, pricing, and strategic plans. Confidentiality obligations survive the termination of the service relationship for a period of five (5) years.

Data Handling

OracleIT will handle your business data with the same level of care as our own confidential information. We will not disclose your data to third parties except as required to deliver the contracted services or as required by law.

6. Intellectual Property

Client Data

You retain all ownership rights to your data, content, and intellectual property. OracleIT does not claim any ownership over data processed as part of service delivery.

OracleIT Materials

All tools, methodologies, processes, documentation, and software developed by OracleIT remain the intellectual property of OracleIT. Any custom deliverables created specifically for your engagement will be addressed in your Service Agreement.

7. Limitation of Liability

Service Interruptions

OracleIT will make commercially reasonable efforts to maintain service availability. However, we do not guarantee uninterrupted service and are not liable for downtime caused by factors outside our reasonable control, including third-party infrastructure failures, natural disasters, or cyberattacks.

Liability Cap

To the maximum extent permitted by applicable law, OracleIT's total liability to you for any claims arising from or related to our services shall not exceed the total fees paid by you to OracleIT in the three (3) months preceding the event giving rise to the claim.

Exclusion of Consequential Damages

OracleIT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.

8. Termination

Termination by Either Party

Either party may terminate the service relationship by providing written notice as specified in your Service Agreement (typically 30 days for monthly services). Termination does not relieve you of any outstanding payment obligations.

Termination for Cause

OracleIT may terminate services immediately if you breach these Terms or your Service Agreement and fail to remedy the breach within 14 days of written notice, or if you engage in illegal activities using our services.

Effect of Termination

Upon termination, OracleIT will provide reasonable assistance to transition services to your new provider. We will return or securely delete your data as agreed, subject to any legal retention requirements.

9. Governing Law and Disputes

Applicable Law

These Terms of Service are governed by the laws of the Republic of Ghana. Any disputes arising from or related to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Ghana.

Dispute Resolution

Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation. If negotiation fails, disputes may be referred to mediation before litigation.

10. General Provisions

Entire Agreement

These Terms of Service, together with your Service Agreement and any applicable Statements of Work, constitute the entire agreement between you and OracleIT regarding our services and supersede all prior agreements or understandings.

Amendments

OracleIT reserves the right to update these Terms of Service at any time. We will notify you of material changes by posting the updated terms on our website. Continued use of our services after changes are posted constitutes acceptance of the revised terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
